Terms of Service

By accessing or using PoolCar by Shuttlers ("PoolCar", "we", "us"), you agree to these Terms of Service. If you do not agree, do not use the Platform. If you accept these Terms on behalf of an organization, you represent that you have authority to bind that organization.

You must register for an account to use most features. You agree to provide accurate information and to keep your credentials secure. You are responsible for all activity under your account. We may suspend or terminate accounts that violate these Terms.

PoolCar supports three organization types: business, leasing company, and platform. Each organization has members with roles (admin, member, owner, staff) that govern what they can do. Some actions are enforced both at the application layer and at the database level for defense-in-depth.

Businesses reserve vehicles from leasing companies for monthly or annual periods, with a daily hour commitment. Reservation orders are billed up front via Paystack and become effective when payment is confirmed. Staff bookings against the reserved fleet must fit inside the committed daily hour band and the leasing company's operating hours.

Leasing companies list their own vehicles and drivers, set per-vehicle rates and rules, and may opt vehicles into a public retail storefront. The leasing company is the asset owner and is responsible for vehicle maintenance, insurance, and driver management. PoolCar provides the marketplace, booking engine, payment rails, and payout infrastructure.

Retail customers may book vehicles directly through a leasing company's branded storefront subdomain. Customers authenticate via email one-time code and pay via Paystack hosted checkout. Bookings are subject to the leasing company's pricing and availability.

PoolCar does not charge subscription or listing fees. Revenue is transactional via configurable take rates (default 10%) on reservation orders, retail bookings, and direct leasing-portal bookings. The Paystack processing fee is grossed up onto the customer's invoice. Take rates and the platform service fee may be adjusted with notice.

Settled bookings flow into payouts to the leasing company's verified Nigerian bank account on a recurring schedule, executed via Paystack transfers. Payouts net of take rates, refunds, and any disputes resolved against the leasing company.

Cancellations and refunds are governed by the cancellation rules visible on each booking flow. Refunds are issued via Paystack and processed asynchronously. Refunds adjust subsequent payouts to the affected leasing company.

You agree not to: (a) use the Platform for unlawful purposes; (b) attempt to access accounts, data, or systems you are not authorized to access; (c) reverse-engineer or scrape the Platform; (d) interfere with the operation of the Platform; or (e) misrepresent your identity, role, or organization affiliation.

Drivers are managed by leasing companies. Trip start and end confirmations made by drivers in the driver portal are part of the audit record for each booking. Disputes about trip occurrence, duration, or quality are resolved by reference to those records and to platform-admin review.

Asset and operational liability sits with the leasing company as the vehicle owner and driver employer. Customer liability for damage during a booking is governed by the leasing company's terms. Platform liability is limited to the fees we have collected from you in the twelve months preceding the claim. To the maximum extent permitted by law, PoolCar is not liable for indirect, incidental, special, or consequential damages.

You agree to indemnify and hold harmless PoolCar, its officers, directors, employees, and affiliates from any claim arising out of your use of the Platform, your breach of these Terms, or your violation of any law or third-party right.

The Platform is provided "as is" and "as available". We do not warrant that the Platform will be uninterrupted, error-free, or secure, or that any specific content will be available. Vehicle and driver listings are provided by third-party leasing companies; PoolCar does not own or operate the vehicles.

Either party may terminate at any time. We may suspend or terminate access for violations of these Terms or for prolonged inactivity. Provisions that by their nature should survive termination will survive (including liability, indemnity, governing-law, and dispute-resolution clauses).

These Terms are governed by the laws of the Federal Republic of Nigeria. Disputes will be resolved in the courts of Lagos State, except where applicable consumer-protection law provides otherwise.

We may update these Terms from time to time. Material changes will be notified via email and via a banner on the Platform. Continued use after changes take effect constitutes acceptance.
